# STORE TERMS OF SERVICE

## THE SHORT VERSION (not part of the agreement)

- STORE is software for owning, governing, and using a democratic cloud.
- **STORE Credits** are prepaid compute. They are not tokens, they cannot be
  sent or sold, and they never expire.
- **STORE tokens** are bought only under a signed SAFT, or granted under a
  signed Token Grant Agreement. Those agreements govern them, not this page.
- You sign everything inside STORE, confirmed by a code sent to your email.
  Every signature gets a receipt anyone can check.
- Nothing here is investment advice or an offer of returns.
- Disputes go to individual arbitration, not class actions.

## 1. WHO WE ARE AND WHAT THIS IS

1.1 These Terms are an agreement between you and **STORE Research Inc.**, a
Delaware corporation ("STORE," "we," "us"). They govern your use of
storecloud.org, the STORE Protocol, and the STORE apps: STORE Pay, STORE Send,
Account, Govern, Holdings, Jobs, and Activity (together, the "Services").

1.2 A Swiss association (the "STORE Association") is planned. If it forms and
takes over some or all of the Services, we may assign these Terms to it for
those Services after giving you at least 30 days' notice.

## 2. ACCEPTING THESE TERMS

2.1 You accept these Terms by creating an account or by signing them inside
STORE. Your acceptance is recorded with this version's number and fingerprint,
the time, and a confirmation code sent to your email.

2.2 You agree to receive agreements, notices, and records electronically, and
that your electronic signature inside STORE is as binding as a handwritten one.

2.3 If you use the Services for an organization, you confirm you are authorized
to accept these Terms for it, and "you" includes the organization.

## 3. DEFINITIONS

- **Account:** your STORE account, personal or organization.
- **MID levels:** MID0 (account created), MID1 (identity verified), MID2 (MID1
  plus a verified wallet and constitutional enrollment). See section 5.
- **STORE Credits:** prepaid units for compute, storage, and intelligence on
  STORE. Defined in section 7.
- **STORE tokens:** the STORE Protocol's native digital tokens.
- **SAFT:** a Simple Agreement for Future Tokens signed with STORE for tokens
  you buy.
- **Token Grant Agreement** and **STORE Credits Grant:** the agreements under
  which STORE grants tokens or credits.
- **Drop:** one recorded entry of value in your account (a purchase, grant,
  reward, or transfer). Each has its own receipt.
- **Trust Receipt:** STORE's record proving an event happened, shown as a "TR-"
  number. A **Signature Receipt** is the Trust Receipt for a signature.
- **Launch (TGE):** the STORE Protocol's token generation event.
- **Test mode:** STORE Beta and other test networks, where some prices and
  limits differ as stated in the Services.

## 4. WHO CAN USE STORE

4.1 You must be at least 18, able to form a binding contract, and not on any
sanctions list or in a sanctioned country.

4.2 Some Services are not available everywhere. You are responsible for
following the laws where you live.

4.3 One person, one personal account. Organizations may have their own account
under section 6.5.

## 5. IDENTITY LEVELS

5.1 **MID0.** Create an account with a display name and email. You can sign
agreements, claim what is sent to you, use granted STORE Credits, and, if you
are a governor, vote.

5.2 **MID1.** Verify your identity through our provider (Persona). You can then
add funds and buy STORE Credits. At MID1 we also record whether you are
eligible to buy STORE tokens under a SAFT: under Regulation D (a verified
accredited investor in the United States) or Regulation S (verified outside the
United States). Eligibility is needed only for SAFT purchases.

5.3 **Automatic approval.** Once your eligibility is recorded, later SAFT
purchases are approved automatically before payment unless your name, country,
or identity has changed, your eligibility has lapsed, a sanctions re-check
fails, or the amount is above the automatic limit. Otherwise a person reviews
it. Every purchase is approved before you pay.

5.4 **MID2.** Verify a wallet and complete constitutional enrollment. You can
then receive and send STORE tokens once they exist and sending is open.

5.5 We may ask you to verify again if your details change or the law requires it.

## 6. YOUR ACCOUNT

6.1 **Security.** Keep your email account secure; codes sent there confirm your
signatures and sign-ins. Tell us at once at security@storecloud.org if you
suspect someone else has access.

6.2 **Usernames.** One per account, unique, shown as @name: lowercase letters,
numbers, and dots, 3 to 30 characters. Reserved names (including STORE's names
and every governor's display name) cannot be taken. Changes follow the
name-change limits in the Services; a changed username shows "recently
changed" to payers for 30 days, and a released username is held for 90 days.
No impersonation.

6.3 **Name changes** are a paid review at the published price, shown before you
confirm. Governors' reviews are paid by the Godzilla Fund.

6.4 **Saved wallets.** STORE tokens can be sent only to wallets you have saved.
Every saved wallet is verified the same way as your first, then can receive
after a 24-hour wait.

6.5 **Organizations.** An organization account requires organization
verification, including everyone who owns 10% or more. You can assign roles
(initiator, approver, viewer), require two approvals for sends and
distributions, set limits, and invite a read-only accountant. The person who
starts a send cannot be its only approver.

6.6 **AI agents** acting for you act under your account and your
responsibility, within your limits.

## 7. STORE CREDITS

7.1 **What they are.** STORE Credits are prepaid units for compute, storage,
and intelligence on STORE. They are not STORE tokens and are not owed to you as
tokens.

7.2 **Closed loop.** STORE Credits cannot be sold, transferred to another
person, sent to a wallet, or withdrawn as money.

7.3 **They never expire.**

7.4 **Conversion.** STORE Credits are for compute. Conversion to tokens is on
our roadmap, subject to regulatory review in Switzerland. It is not guaranteed.
You have no right or option to convert.

7.5 **How you get them.** You can buy them (after launch, with USDC, by card
when available, or with STORE tokens at MID2), or receive them under a signed
STORE Credits Grant (for example welcome credits or a STORE Beta reward). A
grant's own terms apply to granted credits.

7.6 **Refunds.** Refunds of purchased STORE Credits are not available yet. When
they become available (after sending opens), purchased credits will be refunded
only to the original payment method: USDC back to USDC, card back to card.
Granted credits are never refundable. Automatic returns of failed payments
(section 9.5) always apply.

## 8. STORE TOKENS AND THE AGREEMENTS THAT GOVERN THEM

8.1 **Only under a signed agreement.** You can obtain STORE tokens only by
buying them under a SAFT or receiving them under a Token Grant Agreement. That
agreement governs your tokens. If it conflicts with these Terms, it wins for
those tokens.

8.2 **Buying under a SAFT.** SAFT purchases require recorded eligibility (5.2),
approval before payment, and a signed SAFT. In production the minimum is
$2,500 per SAFT purchase; test mode has no minimum. Before launch the price is
the fixed price stated in your SAFT.

8.3 **Underpayment.** If less than your SAFT amount arrives, we fill the SAFT up
to what arrived and issue an amended SAFT for that amount, which you sign by
email code and we countersign. If what arrived is below the minimum, the whole
payment is returned automatically.

8.4 **Delivery.** STORE tokens are delivered only after launch, and only once
your account has reached MID2. Launch may not happen.

8.5 **After launch** the price of STORE tokens everywhere in STORE is the market
rate, taken from independent public sources. If those sources fail, quoting
pauses. There is never a substitute price.

8.6 **No advice, no promised returns.** STORE gives no investment, legal, or
tax advice and promises no return of any kind.

## 9. PAYMENTS

9.1 **Methods.** USDC on Ethereum mainnet; card when available (credits only);
wire transfer for SAFT purchases only; STORE tokens at MID2 after launch.

9.2 **Quotes** last 15 minutes. A quote you have accepted is honored.

9.3 **Fees and prices** are published in the Services before you pay. Fees come
off first; the rest converts. Amounts you receive are rounded up to 8 decimal
places. Test mode may use different fees, as shown.

9.4 **Wires.** Put your order reference in the field your bank shows the
recipient. If it is missing, we match by amount and name and confirm with you.

9.5 **Automatic returns of failed payments** (always on): a late payment, an
overpayment above your limit, a payment on the wrong network, or a payment at
or below the fee is returned to where it came from.

9.6 **Taxes** are your responsibility. Grants and rewards may be taxable income
when received.

## 10. SENDING, DROPS, AND REQUESTS

10.1 **Sending** STORE tokens opens after launch, requires MID2, and may open in
stages and in some places later than others.

10.2 **Email Drops.** You may send STORE tokens to an email address. The
recipient has 60 days to claim, with reminders; you can cancel until they
claim; unclaimed tokens return to you. You confirm you have the right to give
us the recipient's email address.

10.3 **Requests and invoices.** Paying a request or invoice is a normal send.
Requests expire after 60 days.

10.4 Some of these features are not yet available and will open only when
applicable legal reviews are complete.

## 11. SIGNING AND RECORDS

11.1 Agreements are signed inside STORE and confirmed by an email code.

11.2 Each signature is bound to a fingerprint of the exact text and version you
signed, and recorded with the time, device, and network address.

11.3 Signatures on agreements and governor votes are anchored on a public
blockchain as fingerprints. Your personal details are not placed on chain.
Anchored records cannot be deleted. Anyone can check a signed agreement on
STORE's public Verify page.

11.4 Granted tokens count toward your holdings only after STORE countersigns.

## 12. GOVERNANCE

12.1 Governors' votes on governance ballots are public. Member and community
votes are private: the public sees that you voted and the totals, never your
choice.

12.2 Governance decisions may change protocol parameters, fees, and programs
under STORE's constitutional rules. Governance outcomes are not guaranteed.

## 13. HOLDS, SUSPENSION, AND CLOSING

13.1 We may place a hold on a payment, send, or account while we review it,
including to meet legal requirements. We will tell you when something is on
hold and when it is resolved, unless the law prevents us.

13.2 We may suspend or close an account for violating these Terms, false
information, a failed verification, a legal requirement, or a security risk.

13.3 You may close your account at any time. Signed agreements, held-for-you
entries, and records survive closing as the law and those agreements require.

## 14. ACCEPTABLE USE

You may not use the Services to break the law; launder money or finance
terrorism; evade sanctions; defraud or impersonate anyone; manipulate votes,
prices, or rewards; attack, overload, or probe STORE's systems; scrape or
reverse-engineer them beyond what the law allows; or store or distribute
content that is illegal or infringes others' rights.

## 15. YOUR CONTENT AND PERMANENT STORAGE

15.1 You keep ownership of what you upload. You give STORE a worldwide,
non-exclusive license to host, copy, and process it only to provide the
Services.

15.2 Content you choose to store permanently cannot be deleted or changed later.

## 16. AI FEATURES

STORE uses AI (including Hamilton AI) for pricing inputs, security, and
Services features. AI outputs may be wrong. Where an automated decision
significantly affects you, you can ask for a human review at
support@storecloud.org.

## 17. INTELLECTUAL PROPERTY

STORE and its licensors own the Services, software, and trademarks. We grant
you a limited, revocable, non-transferable license to use the Services under
these Terms. If you send us feedback, we may use it freely.

## 18. THIRD-PARTY SERVICES

The Services use providers such as Persona (identity), Circle (USDC), a card
processor, BitGo (custody), and email delivery services, and may link to
others such as Uniswap. Their own terms apply to them. STORE does not control
third-party services.

## 19. PROGRAMS NOT OFFERED

Nothing in these Terms offers or promises: STORE TREASURIES or any deposit or
lending program; seats in any GOVERN auction; referral rewards; or any
charitable contribution or loan program. If any of these is offered in the
future, it will be under its own agreement, and only where the law allows.

## 20. RISKS

The STORE Protocol is new technology. It may not launch, may change, or may
fail. STORE tokens may never have value or a market. Blockchains, wallets, and
smart contracts can fail or be attacked. Laws may change in ways that restrict
the Services. Use the Services only if you accept these risks.

## 21. DISCLAIMERS

To the fullest extent the law allows, the Services are provided "as is" and "as
available," without warranties of any kind, including merchantability, fitness
for a particular purpose, non-infringement, and uninterrupted or error-free
operation.

## 22. LIMITATION OF LIABILITY

22.1 To the fullest extent the law allows, STORE is not liable for indirect,
incidental, special, consequential, or punitive damages, or lost profits or
data.

22.2 STORE's total liability for all claims relating to the Services is limited
to the greater of US$100 or the amounts you paid STORE for the Services in the
12 months before the claim. This does not limit liability that cannot be
limited by law, or obligations under a SAFT, Token Grant Agreement, or STORE
Credits Grant, which have their own terms.

## 23. INDEMNITY

You will defend and indemnify STORE against third-party claims arising from
your breach of these Terms, your misuse of the Services, or your content.

## 24. DISPUTES

24.1 **Talk first.** Before filing, email legal@storecloud.org with your claim.
We will try to resolve it within 30 days.

24.2 **Binding individual arbitration.** Unresolved disputes are decided by
binding individual arbitration administered by JAMS under its consumer
arbitration rules, seated in San Francisco, California (or by video).
Either side may bring a claim in small claims court instead.

24.3 **No class actions.** Claims are brought only individually, not as a
plaintiff or class member in any class, collective, or representative
proceeding.

24.4 **Opt-out.** You may opt out of arbitration within 30 days of first
accepting these Terms by emailing legal@storecloud.org.

24.5 **Governing law.** These Terms are governed by Delaware law, without regard
to conflict-of-law rules. Services provided by the STORE Association after an
assignment under 1.2 may be governed by Swiss law, as stated in the notice.

## 25. CHANGES

We may update these Terms. We will give at least 30 days' notice of material
changes by email and in the Services, and ask you to accept the new version
inside STORE. Each version is published with its own number and fingerprint;
past versions stay available.

## 26. GENERAL

These Terms, the Privacy Policy, and any agreement you sign inside STORE are
the entire agreement on their subject. Signed agreements prevail for their
subject. If a provision is unenforceable, the rest stays in effect. Failing to
enforce a right is not a waiver. You may not assign these Terms; we may, as in
1.2. English controls over any translation.
